| | WNS (Holdings) Limited Files Registration Statement for Initial Public Offering | Mumbai and New York, July 3, 2006 – WNS (Holdings) Limited, the parent company of WNS
Global Services Limited, a leading provider of offshore business process outsourcing (BPO)
services, today announced that it has filed a registration statement with the Securities and
Exchange Commission for a proposed initial public offering of American Depositary Shares
(ADSs), which are expected to trade on the New York Stock Exchange under the symbol “WNS.”
The proposed offering will include a secondary offering of ADSs by selling shareholders named
in the registration statement.
Each ADS represents the right to receive one ordinary share of WNS (Holdings) Limited. The
ADSs will be evidenced by American Depositary Receipts (ADRs). Deutsche Bank Trust
Company Americas will act as the depositary for the ADSs.
Morgan Stanley & Co. International Limited, Deutsche Bank Securities Inc. and Merrill Lynch,
Pierce, Fenner & Smith Incorporated will be the joint book runners of the offering. Citigroup
Global Markets Inc. and UBS Securities LLC are serving as co-managers.
A registration statement relating to these securities has been filed with the Securities and
Exchange Commission but has not yet become effective. These securities may not be sold nor
